had targeted a stand alone software product but was failing to gain
market traction.

major websites. We then identified a series of Joint Venture
and licensing partners, and arranged introductions. Based on inquiries
by several potential partners and the desire of
the client, we assisted in positioning the company for acquisition.
We provided valuation scenarios, plans for dealing with outstanding
stock options, and alternatives for dealing with
a recalcitrant minority shareholder.
We
then identified additional potential acquirers and structured and
facilitated a bidding process that resulted in the
sale of the company. Once the deal closed, we advised the acquirer
on post merger implementation pitfalls and alternatives.
